What are contributions to the share capital of a company? 🤔

Contributions refer to the resources that the partners of a company decide to bring during its creation or during a subsequent capital increase. In return, each partner receives shares/stocks proportionately to the value of their contribution.

💡 Certain legal forms do not require share capital and therefore do not necessitate capital deposit. This is the case for sole entrepreneurs and independent professional practices, for instance.

These contributions can take different forms:

  • Cash Contributions: This involves the contribution of liquid money. Shareholders contribute financially by depositing a sum of money into the company's capital.

  • In-Kind Contributions: These contributions consist of providing tangible or intangible assets, such as real estate, equipment, vehicles, shares, patents, etc. A business's goodwill is also considered a non-cash contribution.

  • Contributions of Expertise: In some cases, shareholders can contribute their skills, expertise, or know-how to the company.

💶 Cash Contributions:

Qonto accepts cash contributions, whether in the context of partial or total capital release during incorporation.

Deposit can only be made through bank transfers.

🏭 In-Kind Contributions:

Qonto accepts in-kind contributions for SARL, EURL, SAS, and SASU entities, only if they complement a cash contribution.

We support all contributions that have been evaluated by a contribution appraiser.

For contributions that have not undergone external evaluation of their value, we can accept them under the following conditions:

→ The individual value of each asset does not exceed 30,000 euros.

→ The total value of in-kind contributions does not exceed half of the share capital.

→ Each is accompanied by a supporting document.
